Investment of Moroccan companies abroad

Investment operations abroad refer to investments made abroad, excluding investments in free zones or off-shore financial centers located in Morocco, by Moroccan legal entities under the following conditions:

– Registration in the commercial register;

– 3 years of activity minimum;

– Investment amount limited to 200 million dirhams;

– The accounts must be certified without significant reservations by an auditor.

– The investment to be made abroad must be related to the basic activity of the person and having the objective of consolidating and developing this activity.

-The investment to be made abroad must not relate to investment operations or real estate other than those corresponding to the operating needs of entities created abroad or forming an integral part of their activity.

Concerning young innovative companies in new technologies, listed with the Digital Development Agency, having a firm financing commitment with foreign donors, their founders are authorized to create entities under foreign law by providing part or all of their shares in said start-ups.

These investments can take the following forms:

• Creation of companies;
• Participation in the capital of foreign companies;
• Opening of liaison offices, representation or branches.
• These investments can consist of:
• capital injections including issue premiums;
• the granting of loans and/or advances on the current account of partners to foreign companies in which the Moroccan investor holds a stake in the capital. Current account advances and loans to be granted must be the subject of duly established contracts and must be remunerated in accordance with market conditions;
• allocations of funds for the acquisition of premises and/or equipment necessary for the needs of operating liaison offices, representation or branches;
• allocations of funds necessary to cover the operating costs of liaison offices, representation, or branches.
